Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and BedsideDx, LLC (“BedsideDx,” “we,” “us”) governing your use of bedsidedx.com and our related services (the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy.

Please also read our Medical Disclaimer, which is part of these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is a professional educational reference intended for licensed clinicians, trainees, and other healthcare professionals. You must be at least 18 years old and able to form a binding contract to use it. By using the Service you represent that you meet these requirements and that any information you provide is accurate.

2. The Service

BedsideDx provides an evidence-based reference for the physical examination and point-of-care ultrasound, including how to perform and interpret findings, the supporting evidence, and related tools. The reference library is available to read without an account. Paid subscriptions unlock additional features, which currently include the diagnostic probability calculator, the full video library, additional POCUS content, and AI Mode. We may add, change, or discontinue features at any time.

3. Accounts

The only ways to get an account are to purchase an individual subscription or to be added to an institutional account by its administrator. You are responsible for keeping your login credentials confidential and for all activity under your account. An individual account is for a single person; you may not share it. Notify us promptly of any unauthorized use.

4. Subscriptions, billing, and renewals

Plans and pricing. We offer individual subscriptions (monthly or annual) and institutional subscriptions (per-seat annual, or by invoice). Current prices are shown on the Subscribe page. Payments are processed by Stripe; by subscribing you authorize us, through Stripe, to charge your payment method.

Automatic renewal. Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price, until you cancel. By subscribing, you authorize these recurring charges.

Cancellation. You may cancel at any time through your account’s billing page or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not provide automatic refunds for the remaining portion of a period after you cancel, except where required by law.

Free trials. We may offer free trials (for example, a one-week institutional trial). Access during a trial is provided at no charge and ends automatically when the trial period expires, unless a paid subscription is arranged before then.

Price changes. We may change prices. For recurring subscriptions, we will give you advance notice, and changes apply to your next renewal. If you do not agree, you may cancel before the change takes effect.

Taxes. Prices may not include taxes; you are responsible for any applicable taxes.

Institutional accounts. An institutional administrator is responsible for managing seats and members, for ensuring members are permitted to access the Service, and for payment of invoices according to their terms. Usage information for member accounts is visible to the institution’s administrators.

5. AI Mode

AI Mode uses an artificial-intelligence model (provided by Anthropic) together with the BedsideDx evidence database to suggest a differential diagnosis and bedside tests based on the case you describe. AI output may be incomplete, inaccurate, or not appropriate for a given patient. It is intended to support — not replace — your independent clinical judgment, and it does not establish a diagnosis. Do not enter patient names, identifiers, or other protected health information into AI Mode. You are responsible for independently verifying any information before relying on it. Your monthly use of AI Mode may be subject to a usage allowance.

7. Medical disclaimer

The Service is an educational reference for licensed clinicians and trainees. It does not provide medical advice and is not a substitute for professional medical judgment, diagnosis, or treatment. Using the Service does not create a doctor–patient or other professional relationship. You are solely responsible for clinical decisions you make. Never disregard professional judgment or delay care because of information from the Service, and in an emergency, contact emergency services. See our full Medical Disclaimer, which is incorporated into these Terms.

8. Intellectual property

The Service and its content — including text, evidence summaries, the selection and arrangement of findings, software, design, and the BedsideDx name and logo — are owned by BedsideDx or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own professional and educational purposes. You may not reproduce, distribute, publicly display, or create derivative works from the content except as expressly permitted.

9. Feedback

If you send us feedback, suggestions, or edit proposals, you grant us a perpetual, royalty-free, worldwide license to use them without restriction or obligation to you, and you agree we may use them to improve the Service. Feedback is not treated as confidential.

10. Third-party services

The Service relies on third-party providers (such as Stripe for payments) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them may be governed by their own terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that content (including AI output) is accurate, complete, or current.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BEDSIDEDX AND ITS OWNERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE — INCLUDING ANY CLINICAL DECISION MADE IN RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless BedsideDx and its owners and providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. On termination, the licenses granted to you end; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Florida will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.

17. Miscellaneous

These Terms, together with our Privacy Policy and Medical Disclaimer, are the entire agreement between you and BedsideDx regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a transfer of our business.
